From July 11, 2016, the rules for filling out registration applications for newly created legal entities and entrepreneurs have changed. It is now necessary to indicate codes of types of economic activity when registering an organization or individual entrepreneur in accordance with the new OKVED OK 029-2014 classifier (NACE REV. 2), approved by Rosstandart order dated January 31, 2014 No. 14-st.

The previously existing classifier OKVED OK 029-2001 (NACE Rev. 1) will lose force only on 01/01/2017, but the tax service has already obliged legal entities and entrepreneurs to use the codes of the new classifier in applications for registration (order of the Federal Tax Service of Russia dated 05.25.16 No. MMV-7 -14/ [email protected] ).

Judicial practice proceeds from the fact that the tax authority has the right to refuse registration if the codes are indicated in the wrong classifier. However, there are chances to challenge such a refusal if it was received before 01/01/2017, because the new OKVED rules apply only from 01/01/2017.

There is no need to submit information about changing codes for existing and existing legal entities. Tax inspectorates will automatically replace old codes entered before July 11, 2016 in the Unified State Register of Legal Entities and Unified State Register of Individual Entrepreneurs with new ones (information from the Federal Tax Service of Russia dated June 23, 2016). The changed codes will go to both the FSS and the Pension Fund.

When filling out an application for registration of a newly formed legal entity, you must indicate the OKVED code that the organization (or entrepreneur) will maintain. One of them must be the main one. The number of codes entered is not limited: 57 codes can be entered into the application sheet “Information about codes”, but there can be several sheets. In this case, the main code fits only into the first sheet.

For a legal entity, the codes are entered in sheet I of the application in form No. P11001, for individual entrepreneurs - in sheet A of the application in form No. P21001.

To simplify the transition from one classifier to another, the Ministry of Economic Development has developed transition keys (https://economy.gov.ru/minec/activity/sections/classificators/). They will help determine how the new codes relate to the old ones. In the application it is enough to indicate the OKVED code in the form of four digits. Then all groups and subgroups of this type will automatically be included in it. If you specify less than four characters of the code, this is a basis for refusal of registration (clause 1.6 of the requirements of Appendix No. 20 to the order of the Federal Tax Service of Russia dated January 25, 2012 No. MMV-7-6 / [email protected] ).

For example, when creating an HOA, OKVED 70.32 “Real Estate Management” was previously indicated, but now 68.32 “Real Estate Management for a fee or on a contractual basis” is indicated.

In the future, codes can be added, so it is not necessary to enter all the codes at once when creating a legal entity or individual entrepreneur.

It is better to indicate in the organization’s charter not specific OKVED codes, but types of activities in accordance with Art. 135 RF Housing Code for HOAs, Art. 161 LC RF for the Criminal Code, art. 110 Housing Code of the Russian Federation for residential complexes and housing cooperatives.

Despite the fact that OKVED codes are just statistical information for communicating to government agencies what an organization plans to do, the size of the Social Insurance Fund tariffs depends on them. Social Insurance Fund tariffs are calculated based on the main type of activity specified during registration. The more traumatic the activity, the higher the tariff. At the end of the year, a certificate confirming the main type of activity is submitted to the Social Insurance Fund (by April 15 of the year following the reporting year). Organizations submit certificates annually, entrepreneurs only if they have changed their main type of activity (Order of the Ministry of Health and Social Development of Russia dated January 31, 2006 No. 55 “On approval of the Confirmation Procedure...”).

If you do not submit a certificate, the fund may set increased tariffs, and you will have to defend your position in court.

If from the documents submitted by the organization it follows that the income was not received from the main type of activity, then the Social Insurance Fund will establish tariffs starting in the new year that correspond to the code under which the income was received. In this case, it is necessary to submit an application for changes to the main code to the tax authority.

For the year the organization is founded, the insurance premium rate is set automatically. It is taken from the main OKVED code, which the organization indicated during registration. Contributions at this rate will need to be calculated for a whole year, even if the organization does not conduct activities according to the specified code (clause 6 of the Rules, approved by Decree of the Government of the Russian Federation dated December 1, 2005 No. 713).
