REGULATIONS ON THE BRANCH OF THE LIMITED LIABILITY COMPANY 1. GENERAL PROVISIONS 1.1. The branch "______________" (hereinafter referred to as the "Branch") of the Limited Liability Company "____________________________" (hereinafter referred to as the "Company") was created on the basis of the decision of ___________________ (Options: General Meeting of Participants, Board of Directors) of the Company "__"_______ 20__. and acts in accordance with the Civil Code of the Russian Federation, other legal acts, the Charter of the Company and these regulations. 1.2. Full name of the branch in Russian: Branch of the Limited Liability Company “__________________________” (name of the Company) “____________________”. (name of branch) 1.3. Branch location: _________________________________ _____________________________________________________________________. 2. GOALS AND SCOPE OF ACTIVITY 2.1. LEGAL STATUS OF THE BRANCH 3.1. The branch is a separate division of the Limited Liability Company "__________________________________________", located outside the location of the Company and performing all of its functions (option: part of its functions), including the functions of a representative office. 3.2. The branch is not a legal entity, it acts on the basis of the Regulations approved by the General Meeting (option: Board of Directors) of the Company. The company provides the branch with fixed and working capital and other property for carrying out economic, commercial and other types of activities. which is accounted for on a separate balance sheet. The balance sheet of the Branch is included in the balance sheet of the Company. 3.3. The head of the Branch is appointed by the General Director of the Company (options: by decision of the Management Board, by decision of the Board of Directors) and acts on the basis of a power of attorney issued by the Company. 3.4. The branch operates on behalf of the Company. The Company bears responsibility for all obligations assumed by the Branch within its competence. 3.5. The branch opens bank accounts in the prescribed manner. The number and types of accounts that a Branch may have are determined by current legal acts. 3.6. The Branch has a seal, stamps and forms with its name and an indication that the Branch belongs to the Company. 3.7. The branch carries out all types of foreign economic activities on behalf of the Company in the manner prescribed by law. 4. PROPERTY OF THE BRANCH 4.1. The property of the Branch is formed from funds assigned to it by the Company or transferred to the Branch for other reasons, as well as monetary and material assets acquired in the course of its business activities. The property listed on the balance sheet of the Branch is the property of the Company. 5. FINANCIAL AND ECONOMIC ACTIVITIES OF THE BRANCH 5.1. The branch carries out financial and economic activities on the terms determined by the Company and specified in these Regulations and the power of attorney issued to the Director. 5.2. Within the limits determined by these Regulations, the Branch independently carries out financial and economic activities. The Company has the right to expand or limit the powers of the Branch in comparison with those specified in these Regulations. 5.3. The Branch disposes of the property and funds received by it as a result of its own economic activities in the Procedure established by these Regulations, as well as decisions of the competent management bodies of the Company. 5.4. Within the limits of the powers granted to it, the Branch has the right to enter into business agreements and make other transactions. The branch bears responsibility for the transactions it concludes with the property assigned to it. If the Branch's property is insufficient, creditors' claims are satisfied at the expense of other property of the Company. 5.5. The branch sells its products, works, services at prices and tariffs established by the Company. 5.6. The branch carries out all types of economic activities aimed at solving the statutory tasks of the Company in the manner determined by the legislation of the Russian Federation. 5.7. The results of the Branch's activities are reflected in its balance sheet, profit and loss statement, as well as the annual report of the Company. 5.8. The business year of the Branch coincides with the business year of the Company. 6. BRANCH MANAGEMENT 6.1. The activities of the Branch are managed by the Director, appointed by the General Director of the Company. The director of the branch acts on the basis of a power of attorney issued and signed by the General Director of the Company. 6.2. The Company carries out the following functions for managing the Branch: - determines the main directions of its activities, approves plans and reports on their implementation; — makes changes and additions to these Regulations, adopts new Regulations; — carries out inspections of the financial and economic activities of the Branch; — appoints and dismisses the Director on the grounds provided by law; — determines the structure of the Branch; — establishes the size, forms and procedure for allocating the Branch with property, money and other funds; — approves annual reports on operating results, determines the procedure for distributing profits and covering losses; — makes a decision to terminate the activities of the Branch, appoints a liquidation commission, and approves the liquidation balance sheet. 6.3. The director of the branch: - by power of attorney, acts on behalf of the company within the powers determined by these Regulations and the power of attorney issued to him; — carries out operational management of the Branch’s activities in accordance with the plans approved by the Company; — represents the interests of the Company represented by the Branch in relations with other enterprises, organizations, institutions and citizens of the Russian Federation and abroad; — manages the funds of the branch within the limits and in the manner established by these Regulations and the power of attorney; — within the framework of the Branch’s economic activities, it independently makes transactions on behalf of the Company, if the transaction amount does not exceed ____________________________________________. The Director has the right to carry out transactions worth more than ___________________________________ rubles, as well as any transactions for the alienation of real estate (except for transactions for leasing property) only after the prior consent of the General Director of the Company. — within the limits of available authority, issues orders and instructions, gives instructions that are mandatory for all employees of the Branch; — opens bank accounts; — hires and dismisses employees of the Branch in accordance with the staffing schedule of the Branch, applies incentive measures to them and imposes penalties on them in accordance with the internal labor regulations and the current labor legislation of the Russian Federation; — performs other actions necessary to achieve the goals and objectives of the Branch. 7. CONTROL OF FINANCIAL AND ECONOMIC ACTIVITIES OF THE BRANCH 7.1. The audit of the financial, economic and activity of the Branch is carried out by the Audit Commission of the Company. 7.2. Control over the financial and economic activities of the Branch can be carried out by auditors (audit organizations) on the basis of agreements concluded with them. 7.3. Members of the Company's audit commission and auditors have the right to demand that officials of the Branch provide them with all necessary materials, accounting or other documents and personal explanations. 7.4. Members of the Audit Commission of the Company and auditors send the results of their audits to _______________________________ (competent body of the Company) of the Company. 7.5. The Audit Commission of the Company and auditors draw up an opinion on the annual reports of the Branch. Without the conclusion of the Audit Commission or auditors, the Company does not have the right to approve the results of the branch’s economic activities. 8. ACCOUNTING AND REPORTING 8.1. The branch takes into account the results of its activities, maintains accounting and statistical reporting in the manner established by the current legislation of the Russian Federation. The balance sheet of the Branch is included in the balance sheet of the Company. 8.2. The Chief Accountant of the Branch is responsible and enjoys the rights established for the chief accountants of enterprises and organizations. The Chief Accountant of the Branch reports directly to the Director of the Branch and is accountable to the Chief Accountant of the Company. 9. BRANCH PERSONNEL 9.1. Relations between employees of the Branch arising on the basis of an employment contract are regulated by Russian labor legislation and the regulations on the personnel of the Branch, approved by the Director. 9.2. The structure and staffing of the Branch is approved by the Company's _____________________________ on the recommendation of the Branch Director. 9.3. The Director of the Branch develops the Personnel Regulations, which stipulate the procedure for hiring and dismissing employees, forms and systems of remuneration, working hours, work shifts, the procedure for granting days off and vacations and other issues. Conditions of remuneration, duration of annual leave, measures of social protection of workers should not be worse than the conditions provided for by the labor legislation of the Russian Federation. 10. TERMINATION OF THE BRANCH 10.1. The activities of the Branch are terminated: - by decision________________________________ of the Company; — upon liquidation of the Company for any reasons provided by law. 10.2. Liquidation of the Branch is carried out by a liquidation commission created by the Company or (in cases established by law) - appointed by the competent government body. 10.3. From the moment the liquidation commission is appointed, the powers to manage the affairs of the Branch are transferred to it. The Liquidation Commission evaluates the Branch's cash assets, identifies debtors and creditors of the Company with whom relations were established in the course of the Branch's activities, and settles accounts with them, takes measures to pay the Branch's debts to third parties, and also draws up a liquidation balance sheet and submits it to the Company. 10.4. The funds available to the Branch, including proceeds from the sale of its property during liquidation, after settlements with the budget, remuneration of the Branch's employees, are distributed by creditors in accordance with the decision of the General Meeting (option; Board of Directors) of the Company. 10.5. If there is insufficient property of the Branch for settlements with creditors, the Company is obliged to satisfy their legal property claims at the expense of other property.

Interaction of the Company with the Branch
5.1. The Company performs the following functions for managing the Branch:

— approves the Regulations on the activities of the Branch, supplements and changes it;
— controls the financial and economic activities of the Branch;
— elects and early dismisses the director of the Branch;
— endows the Branch with property;

Relationships of the unit with other structural units and organizations
An important aspect of the work of departments is the interaction of departments within the organization and with external entities. An important role here is played by the provision on the legal department (a sample is presented in the article), which should reflect the ways of exercising powers outside the enterprise, since legal specialists often interact with third parties and organizations based on the specifics of their work.

An important aspect of the sixth section is the determination of the frequency and timing of the submission of developed acts.

Management of a separate division
5.1. A separate division of the Company is headed by [position, full name], appointed and dismissed by order of [name of the position of the head of the Company].
5.2. The head of a separate division acts on behalf and in the interests of the Company only on the basis of a power of attorney issued by [specify an official of the Company].
5.3. In matters of organizing the work of a separate unit, the head of this unit acts on the basis of unity of command.

– manages a separate division in accordance with these regulations and other local documents of the Company;
– carries out operational management and management of the current activities of a separate division in order to implement the functions of a separate division, ensures the implementation of the Company’s decisions relating to the activities of a separate division;
– independently resolves all issues related to the activities of a separate subdivision that are assigned by these regulations to the jurisdiction of a separate subdivision;
– manages the property and funds of a separate division within the limits of the approved financial plan;
– exercises other powers assigned to him by the legislation of the Russian Federation, these regulations and decisions of the Company.
5.5. The personnel of the separate division is formed by the head of the Company, who approves the structure and staff of the separate division.
5.6. Primary accounting documents prepared in a separate division are transferred to the Company's accounting department, which processes the specified documents and reflects them in accounting.
