When carrying out economic activities, sometimes you have to change the type of economic activity - OKVED code. Start engaging in new types of production or radically change the direction of business activity. There are many reasons for this. From forced circumstances to independent choice. Each such change entails making adjustments to the constituent documents of the LLC and to the information of the Unified State Register of Legal Entities.

Considering the many nuances and difficulties, we recommend entrusting this issue to professionals. After all, taking into account the changing legislation, not everyone knows how to make changes to the charter of an LLC in 2018. Independent attempts can lead to unnecessary waste of material resources.

The statutory documents of any company specify what type of work it will engage in. Each species has its own identification number, which is selected according to a unified national classifier. Changes to OKVED are made every time after a change in the type of economic activity.

Reasons for filling out form p14001

Changes in information in the Register may affect transactions with shares of an LLC, when changing the head, changing the address, adding or abandoning types of activities, or correcting errors.

All situations of information change come down to two main options:

  • information is specified in the constituent documents and the Register ;
  • information is registered only in the Unified State Register of Legal Entities .

The first option requires registration of changes in form p13001, in which case a state fee is paid .

Form P14001 is used in the second option, when changes, including in types of activities, will affect only entries in the Register (state duty in this case is not paid ).

In Form 14001, you can declare several changes at the same time, but you cannot combine changes with correction of errors : this is always filled out in separate copies of Form P14001.

But what if OKVED is not added , but you need to change the existing ones?

Activities may be excluded or added, and separate sections of the p14001 statement are provided for these two activities.

Replacing some codes with others involves simultaneous implementation of both options : first you need to exclude the old OKVED codes, and then fill out the section where the types of economic activity relevant to the organization are entered.

But what documents do you need to have on hand to quickly fill out the application?

Changing the name of the NPO

Changing the name of a non-profit organization is not uncommon, and there can be many reasons for changing the name. The name may change for various reasons, for example, due to the fact that it does not correspond to its type of activity or it simply contains grammatical errors.

If you decide to change the name, you need to remember that it must comply with current legislation. At the moment, the name of an NPO must contain two parts: the first is the name of the organization itself, the second is an indication of its organizational and legal form.

You also need to remember that there are several nuances that require compliance, namely:

  • The name must be written only in Russian (in addition, the name may be in a foreign language);
  • The name of the organization should not contain any foreign words;
  • The use of words such as “Russian Federation”, phrases derived from them and the names of Russian government agencies requires special permission.


Once the name has been determined and it complies with legal requirements, you can begin preparing a package of documents.

So, to make changes to the name of the organization you will need:

  1. A protocol (decision) in which the highest governing body decides on the need to make changes to the constituent documentation (if it consists of more than one page, then it is bound and signed by the current manager);
  2. New edition of the charter (to be stitched and signed by the current manager);
  3. Application in form P13001 – 2 (two) copies (one copy is certified by a notary, the second is signed by the manager);
  4. A document (receipt) confirming the obligatory payment of the state duty (today it is 800 rubles);
  5. Power of attorney (if the procedure for registering changes is not carried out by the manager himself).

After the set of documents has been prepared and the application has been certified by a notary, it must be submitted to the appropriate Department of the Ministry of Justice of the Russian Federation.

The procedure for registering a name change can take from one and a half (1.5) months. After registration is completed, the organization receives a copy of the charter, it will reflect the new name, as well as a certificate of changes made to the charter and an extract from the Unified State Register of Legal Entities.

Please note that even if the procedure for changing the name looks simple, mistakes are made quite often, for example: an incorrectly selected form (form P13001 is used to make changes to the name of an organization), or incorrect filling out of this form.

Required Documentation

When filling out application p14001 about adding or deleting foreign economic activities, you need to rely on the information indicated:

  • in the manager’s passport;
  • in his TIN certificate;
  • in the postal code directory;
  • in the Russian Federation Address Classifier (KLADR);
  • in the directory of document type codes;
  • in the list of subjects of the Russian Federation with established coding;
  • in the current foreign economic activity classifier (from January 2020 this is OKVED2 OK 029-2014);
  • in the Unified State Register of Legal Entities.

Form p14001 is certified by a notary , and he may require a decision or minutes of the meeting of LLC participants on the need to change the types of activities.

It is better to ask the notary about this document in advance, and if necessary, prepare a protocol (see example below). The date of the protocol must be current, that is, not exceed three days before the application is submitted.

Selecting codes

First of all , you need to select the necessary areas of activity according to the OKVED classifier in the latest edition . To do this, you need to accurately understand what the company plans to do and find the corresponding numerical value in the classifier. If you have difficulties in selecting, you should consult with professional registrars who can explain the features of certain areas.

The edition of OKVED must be the latest, since if an out-of-use codification is applied, the entrepreneur will be refused registration actions.

Registration requirements

The data from the sheets of form p14001 will be read by the machine . Therefore, entries must be made in printed capital letters. If the application will be filled out on a computer, then you must use the Courier New 18-point ; if by hand, then use a pen with black .

One cell is designed for only one character .

Spaces are also considered a sign and must be inserted between words.

If the first of two adjacent words ends in the last cell of the line, then a space before the second word at the beginning of the next line .

Hyphens are not used ; if a word does not fit, it can be continued on another line without adding a space .

OKVED codes are entered not in a column, but line by line , from left to right , starting from the first cell. You need to write down at least 4 digits .

Double-sided filling of the paper sheet is not permitted.

Sections to be completed

Application P14001 contains a large number of sheets, pages and sections, but you do not have to fill them all out . The following sheets are intended for adding, deleting or replacing activities:

  • title page (this part must be completed in any case) – information about the organization;
  • sheet H (1 page) – in case of adding activities (if one page is not enough, you can attach several copies of the same page);
  • sheet N (page 2) – in case of exclusion of activities (the number of copies can also be increased if necessary);
  • sheet N (pages 1 and 2) – in case of replacing one OKVED code with another;
  • sheet P (1, 2, 3, 4 pages) – information about the applicant.

The result should be six (if added or deleted) or seven (if replaced) completed pages.

There is no need to print or provide blank pages .

Application form

Immediately after selecting the codes, you should decide on the form for applying for a change. There are two options for changing codes, each of which must be filled out on its own form.

  1. If it is necessary to change the statutory documents in connection with a change of codes, it is necessary to fill out form P 13001. This is required when the statutory documentation stipulates a specific list of types of commercial activities of the company, there is no indication of the permissibility of performing other work. Example: the charter papers of Persephone LLC state that the company is engaged in the rental of construction and agricultural machinery and equipment. There are no indications of other areas of activity. In these circumstances, modifying the encodings will require management to pay a state fee of 800 rubles.
  2. If there is no need to transform the statutory documentation when replacing OKVED, it is necessary to fill out form R 14001. This occurs when the company’s statutory papers stipulate that, in addition to a specific area of ​​activity, the LLC has the ability to perform other tasks permitted by law. Example: the charter papers of Persephone LLC state that the company is engaged in the rental of construction and agricultural machinery and equipment. The papers state that the company has the opportunity to perform other work permitted by law. There is no need to pay state duty.

For failure to provide information about a change in activity direction or failure to meet deadlines, the company may be fined under Article 14.24 of the Code of Administrative Offenses of the Russian Federation.

Procedure for entering data

And so, how to fill out form p14001 when adding OKVED step by step?

Please note the sequence below:

  1. The first (title) page contains two sections. In the first, the OGRN of the company is written down (clause 1.1.), its INN (clause 1.2.) and the name without abbreviations, including the legal form (clause 1.3.). In the second section, you need to note why the application is being filled out. You need to select “change information” , that is, enter the number 1 in the empty cell.
  2. The first page of sheet H contains two items. If you just need to add additional OKVED codes, then in paragraph 1.2. you need to enter them in the designated cells. If there is a change in the main type of activity, then in paragraph 1.1 . the code of the new main view is entered. Since an organization can have only one main foreign trade activity, it is necessary not to forget to exclude the previous one by writing it down on sheet N. If the previous main foreign economic activity is left as an additional one, it must be entered in paragraph 1.2 .
  3. The second page of sheet H looks similar to the first , but the heading indicates that excluded foreign economic activities : in paragraph 2.1. – main, in paragraph 2.2. – additional. If nothing is excluded and the codes do not change one to another, this page is not completed .
  4. On page 1 of sheet P, indicate who the applicant is. In this case, it will be the director, so the number 01 . Sections 2 and 3 are not completed.
  5. On page 2 of sheet P to the relevant paragraphs 4.1.-4.4. passport and other data of the applicant, that is, the director, are entered: last name, first name, patronymic, TIN (if it is not there, the item is not filled in), birth information (date, place), identification document code, its details, who issued it and when .
  6. On page 3 of sheet P in paragraph 4.5. address is recorded in detail : postal code, code of the subject of the Russian Federation, locality in accordance with current directories. The designations of address objects must be entered according to the KLADR (for example, an avenue can be written as “pr-kt”, a block – “kv-l”, a street – “ul”, etc.). The words “house” or “apartment” are not abbreviated . Clause 4.6. provided for the main telephone. If it is a mobile phone, then before the number they write +7 and the code in brackets; if it is a landline, then they write in front of it the number eight and also the code in brackets. There are no hyphens in the phone number .
  7. Page 4 of sheet P is intended only for filling out by hand in front of a notary . The applicant (director) indicates his full name and signs, the notary notes information about himself. On this page you can also select the desired method for receiving documents confirming changes.

There are several options for filing a P14001 application:

  • the applicant himself submits the application to the tax service;
  • another person does this for him power of attorney certified by a notary ;
  • instead of the tax service, you can submit papers to the multifunctional center (MFC);
  • It is allowed to send documents by mail by a valuable letter , enclosing an inventory of the contents. Documents will be considered provided on the day the letter is sent, and not on the day it was received by the registration authority;
  • papers can be scanned and sent in the form of files through the website of the Federal Tax Service , where there is a page for submitting documents for state registration.
